Please read these Terms and Conditions ("Agreement") carefully before enrolling in or participating in any program offered by Prime Performance Lab™, a service of The Prime Project™ LLC, a Texas limited liability company ("PPL," "we," "us," or "our"). This Agreement governs your participation in the Alpha Cohort program and any associated services offered through theprimeproject.com.

By submitting an application, making payment, or participating in any PPL program, you ("Participant," "you") agree to be bound by this Agreement in full. If you do not agree, do not enroll or participate.

Parties & Acceptance

This Agreement is entered into between The Prime Project™ LLC ("PPL") and the individual who has submitted an application and made payment to participate in the Alpha Cohort program ("Participant").

Acceptance of this Agreement occurs when any of the following actions take place: (a) submission of an enrollment application through theprimeproject.com; (b) remittance of program fees; or (c) physical or virtual participation in any PPL program session or activity.

Program Description

Prime Performance Lab™ Alpha Cohort is a 16-week performance engineering program offered to a cohort of up to 18 participants, operating in Fort Worth, Texas. The program integrates five measurable capacity pillars — Structural, Aerobic, Metabolic, Neural, and Behavioral — into a composite Prime Capacity Index™ (PCI) score.

The program includes in-person training sessions at the PPL facility, objective baseline and re-test assessments, a precision training prescription based on individual PCI pillar profiles, data logging and progress tracking, and access to a physician metabolic consultation through Highland Longevity.

Program Lead

Rob Davis, founder of The Prime Project™ LLC, serves as the primary Performance Engineer responsible for program design, delivery, and participant outcomes. James [Last Name], certified trainer and Performance Engineer, assists with training floor delivery.

PPL reserves the right to modify session scheduling, facility assignments, and program components as reasonably necessary to serve participant outcomes. Material changes to the core program structure will be communicated in advance.

Program Fees & Payment

$7,500 Total Program Fee
Enrollment Deposit
$1,000 — due at the time of application to reserve your cohort spot. This deposit is non-refundable under all circumstances. Your spot is not held until the deposit is received.
Balance Due
$6,500 — due in full no later than [X] days before the program start date. Failure to remit the balance by this deadline may result in forfeiture of enrollment and the deposit, at PPL's discretion.

The total program fee of $7,500 USD covers participation in all 16 weeks of training and assessment, access to the PPL facility during scheduled sessions, PCI baseline and re-test assessments, and the one-time physician metabolic consultation with Dr. Josh Lindsley at Highland Longevity as described in Section 5 below.

Not Included

Any services, laboratory work, diagnostic testing, medications, supplements, or clinical care ordered or recommended through Highland Longevity or any other provider are separate from this program fee and are the Participant's sole financial responsibility. PPL is not responsible for any costs arising from third-party providers.

Refund & Cancellation Policy

The $1,000 enrollment deposit is non-refundable under all circumstances, including cancellation by the Participant for any reason. Given the limited cohort size of 18 participants, each reserved spot represents the exclusion of another qualified applicant from the moment the deposit is received.

Cancellation 10 or More Days Before Program Start
If a Participant submits written cancellation to PPL no later than 10 calendar days before the scheduled program start date, the $1,000 deposit will be forfeited and the $6,500 balance will be refunded in full within [X] business days. Cancellation notice must be submitted in writing to [INSERT EMAIL].
Cancellation Fewer Than 10 Days Before Program Start
If a Participant cancels within 10 calendar days of the program start date — or fails to appear at the first session without prior written notice — the full $7,500 program fee is forfeited. No refund of the balance will be issued. PPL is not obligated to offer a credit or deferred placement in this circumstance, though it may do so at its sole discretion.
Cancellation After Program Start
No refunds or pro-rated credits will be issued for withdrawals made after the program has commenced, regardless of the number of sessions attended or remaining.
Participant Injury or Medical Withdrawal
In the event a Participant is unable to continue due to injury, illness, or a physician-directed medical hold, PPL will work with the Participant in good faith to evaluate options, which may include a deferred cohort placement. Any such accommodation is at PPL's sole discretion and does not constitute a waiver of the forfeiture terms above.
Program Cancellation by PPL
In the unlikely event that PPL cancels the Alpha Cohort program prior to commencement, Participants will receive a full refund of all program fees paid, including the deposit. PPL's liability in such an event is limited to the return of fees only.

Other Products — Fees & Refund Policy

The following products are offered by The Prime Project™ LLC through theprimeproject.com and are subject to the terms below. All fees are in USD.

Prime Performance Lab™ Anywhere — $997
A flat-fee, four-month digital program that includes access to weekly live sessions with Rob Davis, James [Last Name], and Dr. Josh Lindsley; recordings of all live sessions; and a library of program content. Access begins upon purchase confirmation.

Refund Policy: A full refund is available within 7 calendar days of purchase, provided the purchaser has not attended a live session or accessed more than one recorded session. After 7 days, or after meaningful content access — whichever occurs first — all fees are non-refundable. To request a refund within this window, contact PPL in writing at the address listed in Section 16.

Content Access & Chargebacks

Initiating a payment dispute or chargeback with your financial institution without first contacting PPL to request a refund under the applicable policy above constitutes a breach of this Agreement. PPL reserves the right to revoke content access and terminate the Agreement immediately upon initiation of an unauthorized chargeback.

Physician Integration — Scope & Limitations

The Alpha Cohort program includes a single metabolic consultation with Dr. Josh Lindsley, M.D., of Highland Longevity, a licensed medical practice in [City, Texas]. This consultation is a discrete, one-time engagement focused on reviewing the Participant's metabolic data as it relates to performance capacity and body composition.

This consultation does not establish a physician-patient relationship between the Participant and Dr. Lindsley or Highland Longevity for ongoing clinical care. It is not a substitute for the Participant's primary care physician, specialist relationships, or ongoing medical management. Dr. Lindsley's participation in the PPL program is limited to the scope defined herein and does not constitute continuous clinical oversight of the Participant.

PPL is a performance engineering company, not a licensed medical provider, clinical practice, or healthcare organization. Rob Davis and James [Last Name] are not licensed physicians, dietitians, physical therapists, or clinical practitioners. Nothing in the PPL program — including PCI assessments, training prescriptions, or metabolic data collection — constitutes the practice of medicine, physical therapy, or clinical dietetics.

All clinical decisions, treatment plans, medication adjustments, or medical recommendations remain solely within the scope and authority of licensed healthcare providers. Participants are encouraged to maintain their existing relationships with primary care and specialty physicians throughout the program.

Scope of Practice

Highland Longevity is an independent medical practice. PPL and Highland Longevity are separate legal entities. PPL does not direct, supervise, or bear liability for the clinical judgments or recommendations made by Dr. Lindsley or any Highland Longevity staff in the course of a participant consultation.

Health, Medical & Safety Disclaimer

Participation in Prime Performance Lab™ involves physical exertion, strength training, cardiovascular conditioning, and high-intensity exercise protocols that carry inherent risks. These risks include, without limitation: musculoskeletal injury, cardiovascular stress, and exacerbation of pre-existing conditions.

Prior to beginning the Alpha Cohort program, each Participant must:

Obtain clearance from a licensed physician confirming that the Participant is medically cleared to engage in high-intensity physical training. Participants with known cardiovascular conditions, metabolic disorders, recent injuries, or surgeries within the past 12 months should discuss participation with their physician prior to enrollment.

The information provided through PCI assessments, training prescriptions, and program materials is for performance engineering and informational purposes only. It is not intended to diagnose, treat, cure, or prevent any medical condition, and should not be interpreted as medical advice.

Assumption of Risk & Release of Liability

By enrolling and participating, the Participant voluntarily assumes all risks associated with physical training, assessment protocols, and related activities conducted as part of the Alpha Cohort program.

To the fullest extent permitted by applicable law, the Participant hereby releases, discharges, and holds harmless The Prime Project™ LLC, its officers, members, employees, agents, coaches, contractors, and physician partners from any and all claims, demands, damages, losses, or causes of action arising out of or related to participation in the PPL program, including but not limited to personal injury, property damage, or death — whether caused by negligence or otherwise.

This release extends to all activities occurring on or off the PPL premises in connection with the program, including virtual sessions, travel to and from the facility, and any activities undertaken pursuant to PPL programming recommendations.

Limitation of Liability

To the maximum extent permitted by applicable law, PPL's total liability to any Participant for any claim arising from or related to this Agreement or the Alpha Cohort program shall not exceed the total program fees paid by that Participant.

In no event shall PPL be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of business opportunity, or personal injury damages beyond those directly caused by PPL's gross negligence or willful misconduct.

PPL is not liable for the acts, omissions, or clinical recommendations of any third-party providers, including Highland Longevity, Dr. Josh Lindsley, or any other physician, dietitian, or health professional who participates in the program.

Participant Obligations

Participants agree to the following obligations as a condition of enrollment and continued participation:

Honest Self-Reporting
Participants must accurately represent their health history, prior injuries, medications, and any conditions that may affect their ability to safely train. Misrepresentation of health information releases PPL from any liability arising from that omission.
Medical Clearance
Participants must provide physician clearance documentation before the first training session. PPL reserves the right to withhold access to sessions until this requirement is satisfied, without refund obligation.
Attendance & Commitment
The program is cohort-based. Missed sessions cannot be made up through individual scheduling. Participants understand that low attendance may affect their PCI outcomes. No refunds or fee adjustments will be issued for sessions missed by the Participant.
Conduct
Participants must conduct themselves professionally and respectfully toward all PPL staff, coaches, physicians, and fellow participants. PPL reserves the right to remove any Participant from the program for conduct that disrupts program operations or endangers other participants, without refund.
Following Program Protocols
Participants agree to follow PPL's prescribed training protocols and not to modify, exceed, or circumvent prescribed programming without authorization from their Performance Engineer.

Data, Privacy & Metabolic Information

PPL collects and stores performance and health-related data submitted by Participants in connection with the PCI assessment process, including self-reported metabolic markers, training session data, and behavioral check-in responses.

All metabolic and health data collected through the PPL platform is stored as self-reported participant input and is not classified, stored, or transmitted as clinical medical records. PPL is not a covered entity under HIPAA and does not operate as a healthcare provider. Participants should not input sensitive clinical records or prescription medication information through the PPL platform.

Data collected through the PPL program is used solely to support participant performance tracking, PCI scoring, and program delivery. PPL will not sell or share Participant data with third parties except as required to operate the program (e.g., sharing relevant self-reported metrics with the physician partner for consultation purposes, with Participant consent).

Intellectual Property

All program materials, frameworks, assessments, training protocols, scoring systems (including the Prime Capacity Index™), and content produced by PPL or its representatives are the exclusive intellectual property of The Prime Project™ LLC. These materials are protected by applicable copyright, trademark, and trade secret law.

Participants are granted a limited, non-transferable, non-sublicensable license to use program materials solely for their own personal training and performance development. Participants may not reproduce, distribute, resell, teach, or use PPL materials — including the PCI framework and training protocols — for commercial purposes or in any public-facing capacity without prior written authorization from PPL.

Prime Performance Lab™, The Prime Project™, and Prime Capacity Index™ are trademarks of The Prime Project™ LLC. Unauthorized use of these marks is prohibited.

Modifications to the Program

PPL reserves the right to modify the Alpha Cohort program, including session scheduling, facility layout, assessment protocols, and supporting personnel, as reasonably necessary to serve participant outcomes and operational requirements. PPL will provide reasonable advance notice of any significant changes.

PPL also reserves the right to update these Terms and Conditions at any time. Updated terms will be posted to theprimeproject.com with a revised effective date. Continued participation in any PPL program following the posting of updated terms constitutes acceptance of the revised agreement. It is the Participant's responsibility to review these terms periodically.

Dispute Resolution & Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute arising from this Agreement or a Participant's participation in PPL programs shall be subject to the exclusive jurisdiction of the state and federal courts located in Tarrant County, Texas.

Informal Resolution First

Before initiating any formal legal action, the Participant agrees to notify PPL in writing and allow a period of 30 days for good-faith informal resolution of the dispute. Written notice should be directed to PPL via the contact information listed in Section 15.

Miscellaneous

Entire Agreement
This Agreement, together with any program application and accompanying disclosures, constitutes the entire agreement between PPL and the Participant with respect to the Alpha Cohort program and supersedes all prior representations, discussions, or agreements.
Severability
If any provision of this Agreement is found to be unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, and all remaining provisions shall continue in full force and effect.
No Waiver
PPL's failure to enforce any provision of this Agreement in a particular instance shall not constitute a waiver of its right to enforce that provision in the future.
No Third-Party Beneficiaries
This Agreement does not create any rights in third parties, including the Participant's family members, employers, or other individuals not party to this Agreement.
Force Majeure
PPL shall not be liable for delays, cancellations, or non-performance caused by circumstances beyond its reasonable control, including but not limited to natural disasters, public health emergencies, facility closures mandated by governmental authority, or acts of God.
